The terms that govern your use of the HospiNotes website and the documentation, compliance, billing and Digital Solutions services we provide.

These Terms of Service ("Terms") govern your access to and use of the HospiNotes website and any services you engage us to provide. By using this site or working with us, you agree to these Terms. If you are accepting on behalf of a hospice agency or other organization, you confirm you have the authority to bind that organization. If you do not agree, please do not use the site or our services.
HospiNotes is a service of WaySel ("WaySel," "we," "us"), a product & growth studio. We provide hospice documentation, compliance and billing support, along with a suite of Digital Solutions, a hospice & palliative EHR, marketing, a CRM, telecommunications, and AI automation, built for the agencies we serve.
Depending on what you engage us for, our services may include chart and documentation support, compliance and audit readiness review, billing assistance, and any of the Digital Solutions above. The specific scope, deliverables and fees for your engagement are defined in a separate written proposal, order form or agreement between you and WaySel. Where those documents conflict with these Terms, the signed engagement documents control.
Any service that involves protected health information (PHI) is governed by a separate, signed Business Associate Agreement (BAA) and by HIPAA's Privacy and Security Rules. These Terms do not replace, limit or modify that BAA. Where the BAA and these Terms address the same subject, the BAA controls for all matters relating to PHI. The client agency remains the covered entity and the custodian of the health record.

Fees, billing frequency and payment terms are set out in your engagement documents. Unless stated otherwise, invoices are due within the period specified there, and fees are exclusive of applicable taxes. Late or unpaid amounts may result in suspension of the affected services after reasonable notice.
Any figures shown on this site, including ROI, savings, census, recovery or efficiency numbers, and any results produced by our interactive calculators, are illustrative examples only. They are based on assumptions and typical scenarios, not your specific circumstances. They are not a promise or guarantee of any particular financial, clinical, audit or compliance outcome. Actual results depend on many factors outside our control, including your data, staffing, payer behavior and regulatory decisions.
The content, design, code, trademarks and materials on this site are owned by WaySel or its licensors and are protected by law. We grant you a limited, non exclusive right to view the site for its intended purpose. You may not copy, republish or create derivative works from it without our written permission. Ownership of deliverables created during an engagement is addressed in your engagement documents.
Except as expressly stated in a signed agreement, the website and services are provided "as is" and "as available," to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose and non infringement. We do not provide legal, accounting or medical advice, and our services do not replace your own professional and regulatory judgment.
To the fullest extent permitted by law, WaySel will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the site or services. Our total aggregate liability for any claim relating to a service is limited to the fees you paid us for that service in the twelve months before the claim arose. Nothing here limits liability that cannot be limited by law, or obligations set out in the BAA.
Each party may receive confidential information from the other. We will protect your confidential information with reasonable care, use it only to provide the services, and not disclose it except to people who need it and are bound to protect it, or as the law requires. Confidential information involving PHI is additionally governed by the BAA.
These Terms apply while you use the site or receive services. Either party may end an engagement as described in the applicable engagement documents. On termination, you remain responsible for fees earned up to that date, and we will return or dispose of your data, including PHI, as the BAA and your engagement documents require. Provisions that by their nature should survive termination will do so.
These Terms are governed by the laws of the state in which WaySel is organized, without regard to its conflict of laws rules. The courts located in that jurisdiction will have exclusive authority over any dispute, unless your engagement documents specify a different forum or dispute process.
We may update these Terms as our services or the law evolve. Material changes will be reflected by the "Last updated" date above. Continuing to use the site or services after a change means you accept the revised Terms.
